Sale of Birdsall Services Group Approved in Bankruptcy Court

The engineering firm's assets were sold to Partner Engineering and Science Inc. Wednesday.

The sale of Eatontown-based Birdsall Services Group's assets was approved in United States Bankruptcy Court on Wednesday morning.

The engineering firm's assets were sold to Partner Engineering and Science, Inc., a national engineering firm with offices in Ramsey and Red Bank.  

Birdall filed for bankruptcy earlier this year after several of its employees were indicted for making illegal campaign contributions.

The former CEO of Birdsall Services Group and six other executives and shareholders were indicted Tuesday on charges they allegedly violated state pay-to-pay laws.

The Eatontown-based firm has engineering contracts with various municipalities in Monmouth and Ocean Counties.

The asset purchase agreement between the groups was filed on May 24 and was finalized today, according to a press release from Partner. The company purchased Birdall's assests, contracts and license agreeents for $5.6 million. Partner will be required to make additional, unspecified performance-based payments in summer 2014, the release stated.

Partner Director of East Coast Operation Frank Romeo said he saw an opportunity with the purchase of Birdsall.

“I thought ‘What a shame that this is happening to such a well respected firm.’  There are a lot of really good people there that are still doing great work,” Romeo said in the release.  “But I realized that we could do something about it.” 

Birdsall will complete its current contracts and will continue to operate largely as previously under the Partner name.

Partner will be retaining as many of Birdsall’s staff as possible, according to the release.

Partner President Joseph Derhake said the company will "steer far clear of the political contributions that started BSG’s troubles."

“We are not going to engage in any pay to play,” Derhake said in the release. “If we can’t win the work based on merit alone, we don’t want that work.”

The estimated closing date for the purchase is between June 15 and June 20, the release states.
